By accessing or using Nimble PV's website, AI assistant, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and Nimble PV.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of yourself or your organisation, and accept these Terms in full. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Nimble PV provides fractional pharmacovigilance (drug safety) services to pharmaceutical companies and biotech startups, including:

• Fractional VP Pharmacovigilance — senior safety leadership on an outsourced, part-time basis
• CRO PV services — ICSR processing, aggregate reporting, signal detection, risk management
• AI-assisted advisory via Vera, our pharmacovigilance AI assistant
• Regulatory intelligence and compliance support

Some features of the website, including the Vera AI assistant, are provided as informational tools only and do not constitute a formal engagement or service agreement. A separate written agreement is required for any professional services engagement.

Certain features may be offered in beta or experimental form. These are provided "as-is" without warranties and may be modified or discontinued at any time without notice.

3. Eligibility

You must be at least 18 years old to use the Service. The Service is intended for professionals in the pharmaceutical, biotechnology, and life sciences industries. By using the Service you represent that you meet these requirements.

4. Not a Substitute for Professional Advice

The information provided through the Service — including all content generated by the Vera AI assistant — is for general informational and educational purposes only. It does not constitute:

• Legal advice or legal services
• Medical or clinical advice
• A formal regulatory submission, opinion, or filing on your behalf
• A qualified person (QPPV) service unless explicitly agreed in a separate written engagement

Nimble PV is not responsible for any regulatory, legal, or clinical decisions made based on information obtained through the Service without a formal engagement agreement in place.

5. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

6. User Conduct and Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Submit false, misleading, or fraudulent information
• Attempt to reverse-engineer, scrape, or extract data from the Service
• Upload or transmit malicious code, viruses, or harmful content
• Impersonate any person, organisation, or regulatory body
• Use the Service in any way that could damage, disable, or impair its operation
• Use automated means (bots, scrapers) to access the Service without prior written consent
• Attempt to gain unauthorised access to any part of the Service or its infrastructure

We reserve the right to suspend or terminate access for any user who violates these prohibitions, with or without notice.

7. Content and Communications

7.1 Your content

You retain ownership of any information, questions, or content you submit through the Service. By submitting content, you grant Nimble PV a limited licence to use that content solely to provide and improve the Service — including training and improving the AI knowledge base in anonymised, aggregated form.

7.2 Our content

All content on the Site — including text, graphics, logos, and AI-generated responses — is the property of Nimble PV or its licensors. You may not reproduce, distribute, or create derivative works without our express written permission.

7.3 AI-generated responses

Responses generated by the Vera AI assistant are provided for informational purposes only. They are not guaranteed to be accurate, complete, or current. Pharmacovigilance regulations change frequently — always verify regulatory requirements with primary sources and qualified professionals.

8. Intellectual Property

All software, documentation, trademarks, trade names, and content provided by Nimble PV — including the name "Vera" and the Nimble PV brand — remain the intellectual property of Nimble PV. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

9. Third-Party Services

The Service integrates with third-party platforms including LinkedIn, Twitter/X, and Substack for content publishing, and uses AI APIs including Anthropic Claude and Voyage AI for Service delivery. Your use of those platforms is governed by their own terms of service and privacy policies. Nimble PV is not responsible for the practices or content of any third-party service.

10. Disclaimers and Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Nimble PV does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any information provided through the Service — including Vera AI responses — is accurate, complete, or suitable for your specific regulatory situation.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Nimble PV shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service — including but not limited to loss of revenue, loss of data, regulatory penalties, or business interruption — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the greater of (a) the amounts you have paid to Nimble PV in the 12 months preceding the claim, or (b) £100 GBP.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nimble PV and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may stop using the Service at any time. Nimble PV reserves the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms.

Upon termination, all provisions of these Terms that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable consumer protection laws in your jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, services, or applicable law. We will post the updated Terms on this page with a revised "Last Updated" date. For material changes, we will provide at least 30 days' notice where reasonably practicable.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nimble PV with respect to the Service and supersede all prior agreements, representations, and understandings.
